Terms of Service

1. Acceptance of terms

By purchasing a Trinity license, accessing this website, or using Trinity software, you agree to these Terms of Service. If you are entering into these terms on behalf of a company or organisation, you represent that you have the authority to do so.

2. The software license

Trinity is sold as a perpetual software license. When you purchase Trinity:

• You receive: A perpetual license to deploy and use Trinity on your own infrastructure for your own internal business purposes
• You own: The right to use the software indefinitely — your license does not expire
• You may: Deploy Trinity on your own servers, modify configuration, integrate with your systems, and use it for any lawful business purpose
• You may not: Resell Trinity, sublicense it, distribute the source code publicly, create competing products derived from it, or represent Trinity as your own product

3. One-time purchase and payments

Trinity is sold as a one-time license purchase. There are no recurring subscription fees for the core software. You understand that:

• Payment is due at the time of purchase and is non-refundable once the software has been delivered and deployed
• Model API costs (OpenAI, Anthropic, etc.) are separate expenses paid directly to the respective providers — Trinity is not responsible for these costs
• Custom feature development, if requested, is priced and contracted separately
• Support plans, if offered, may have their own separate pricing and renewal terms

4. Custom development

Trinity offers custom capability development — building new tools, integrations, or features specific to your business needs. For custom development work:

• Scope, pricing, and timeline are agreed in writing before work begins
• Custom features developed for your business are owned by you upon full payment
• We retain the right to incorporate general improvements and learnings into Trinity's core codebase unless expressly agreed otherwise
• Custom work is subject to a separate statement of work

5. Support

Support terms depend on your purchase tier:

• Standard license: Email support with 48-hour response time during business days
• Enterprise license: Priority 24/7 support with direct access to our engineering team and SLA guarantees as specified in your enterprise agreement

Support covers deployment assistance, configuration questions, and bug reports. It does not cover issues caused by modifications you make to the codebase, third-party model provider outages, or infrastructure problems on your side.

6. Acceptable use

You agree to use Trinity only for lawful purposes. You must not use Trinity to:

• Process, store, or transmit content that violates applicable laws
• Engage in automated activities that violate the terms of third-party services you integrate with
• Generate, distribute, or facilitate illegal, harmful, or deceptive content
• Circumvent security measures of any system or network
• Conduct activities that constitute fraud, harassment, or abuse

You are responsible for ensuring your use of Trinity complies with all applicable laws and regulations in your jurisdiction, including data protection laws relevant to the data you process through Trinity.

7. Data and privacy

Trinity is self-hosted. All data you process through Trinity — conversations, files, memory entries — is stored on your own infrastructure. You are the data controller for all data processed by your Trinity deployment. You are responsible for:

• Ensuring you have appropriate rights to process any data you input into Trinity
• Complying with applicable data protection regulations (GDPR, CCPA, etc.) as they apply to your use
• Securing your Trinity deployment appropriately for your data sensitivity
• Managing the security of your model provider API keys

8. Disclaimers and limitation of liability

Trinity is provided "as is" without warranties of any kind, express or implied. While we make every effort to ensure Trinity works reliably, we do not guarantee uninterrupted operation, error-free execution, or that Trinity will meet every specific requirement.

In no event shall Trinity Agent be liable for:

• Indirect, incidental, or consequential damages arising from use of the software
• Loss of data, business interruption, or loss of profits
• Decisions made or actions taken based on Trinity's outputs
• Costs incurred from model API usage with third-party providers

Our total liability for any claim arising from your use of Trinity shall not exceed the amount you paid for your license.

9. AI outputs and accuracy

Trinity uses AI language models to process requests and generate outputs. You acknowledge that:

• AI outputs may contain errors, inaccuracies, or omissions
• You are responsible for reviewing and verifying any outputs before acting on them
• Trinity's outputs do not constitute professional legal, financial, medical, or security advice
• Final decisions based on Trinity's outputs are your responsibility

10. Intellectual property

Trinity Agent retains all intellectual property rights in the Trinity software, including the source code, design, and documentation. Your license gives you the right to use the software, not to own it. Any custom features developed for you under a separate agreement are owned by you as specified in that agreement.

11. Termination

Your license to use Trinity is perpetual but may be terminated if you materially breach these terms and fail to cure the breach within 30 days of written notice. Upon termination, you must cease using Trinity and destroy all copies in your possession. Termination does not entitle you to a refund.

12. Governing law

These terms are governed by the laws of India. Any disputes shall be resolved through good-faith negotiation first. If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of India.

13. Changes to these terms

We may update these terms from time to time. Material changes will be communicated to active customers by email. Continued use of Trinity after changes constitutes acceptance of the updated terms.
